Section A: Software License Terms and Conditions

for the PASK Software (hereinafter referred to as the “Software”)


These License Terms constitute a legal agreement between ATS sp. z o.o., with its registered office in Warsaw (AL. Ks. J. Poniatowskiego 1, 03-901 Warsaw), entered into the Register of Entrepreneurs of the National Court Register under KRS number 0000712479, Tax Identification Number (NIP) 5361930881 (“Licensor”), being the producer of the PASK Software (hereinafter referred to as the “Producer”), and the Licensee (hereinafter collectively referred to as the “Parties”), the subject of which is the granting to the Lecensee a license to use the Software and the regulation of the mutual rights and obligations of the Parties.

The Producer grants the Licensee a licence solely through its exclusive Distributor: Uniteam sp. z o. o. al. Ks. J. Poniatowskiego 1, 03-901 Warsaw, Tax Identification Number 521-353-71-23, entered into the Register of Entrepreneurs of the National Court Register under KRS number 0000332256, e-mail: kontakt@uniteam.pl

Rights in usage PASK Software product are offered only on the condition that the Licensee agrees to all terms and conditions of this Software License Terms and Conditions. Before placing the order, the Licensee is obliged to review these Sofytware License Terms and Conditions. By installing, copying, downloading, or otherwise using the Software PASK, the Licensee agrees to be bound by the terms of this document. If the Licensee does not accept these license terms, the sole remedy is to resign from placing the Order or installing the Software PASK and cease any using of the Software PASK. These Software License Terms and Conditions are an integral part of the placed order.

These Software Licence Terms and Conditions are the integral part of your Order for Pask Software.

For the avoidance of any doubt, the Licensor reserves all rights, including but not solely intellectual property rights, not expressly granted to the Licensee in this Software License Terms and Conditions which includes rights to all Software modifications, updates and documentation. All intellectual property rights in the Software and user documentation are owned by the Licensor and are protected by law, including but not limited to Polish copyright, trade secret, and trademark law, as well as other applicable laws and international treaty provisions.

The Licensee shall not remove any product identification, copyright notices, or proprietary restrictions from the Software.

The Software is protected by polish law. Any usage of the Software contrary to these Software License Terms and Conditions or in unforeseen way will be deemed illegal.

To the maximum extent permitted by applicable law, the Licensor provides the Software "as is" and with all potential faults, and hereby disclaim all other warranties for the Software’s reliability, correctness, accuracy, availability or efficiency. Some jurisdictions do not allow exclusion of implied warranties or limitations on the duration of implied warranties, so the above disclaimer may not apply to the Licensee in its entirety.

The Terms of Updates and Basic Maintenance are set out in Section B, under condition that the Licensee is entitled to receive that services. The Distributor is solely entitled to provide the Licensee with Software Updates and Basic Maintenance.

Uninstalling the Software from a device during the licences’ term does not influence the Licensee’s obligations set out in these License Terms and Conditions, including the payment duty.

The licence is granted by thy Licensor per one Active Identity to be use in a Licensee’s production environment. The Licensee is entitled to order any number of licences and to use The Software in a testing environment without limits.

The Licensee is entitled to receive a Certificate confirming the legal usage of the Software. The Certificate will be issued by the Licensor or the Distributor.


§1 Conditions for Granting the License, Restrictions on Use

  1. The Licensor, under the conditions specified below and in the Order placed by the Licensee, grants the Licensee a license to use the Software PASK throughout the entire world as a limited, non-exclusive, revocable, non-transferable, non-assignable, time-limited or perpetual (for an indefinite period) depending on the option selected by the Licensee.
  2. The Licensee is entitled to:
    1. install and use the Software in compliance with these Software Licence Terms and Conditions user’s documentation and placed Order, on devices and as a part of business activities, in accordance with the number of Active Identities covered by the placed order,
    2. increase the number of Active Identities by purchasing additional licenses,
    3. purchase an additional paid technical support and maintenance services, based on a contract with the Distributor and for additional remuneration
    4. support for maintenance and services in accordance with Section B of these Software Licence Terms, which may cause an additional fees.
  3. Except to the extent that any of the following restrictions are prohibited by law (and, then only to the extent prohibited) or any such restricted actions are otherwise allowed under these License Terms or by written authorization from the Licensor, the Licensee must not:
    1. install or use the Software in a manner that is inconsistent with these License Terms and Conditions or the submitted order, or in any way not provided for therein;
    2. modify, adapt, translate, rearrange the layout of the Software, make any other changes to the Software or any part thereof, or create derivative works based on it;
    3. reproduce the Software, in whole or in part, permanently or temporarily, by any means and in any form, without the prior written consent of the Manufacturer, unless such reproduction is necessary for the Buyer to use the Software in accordance with the submitted order;
    4. distribute the Software or any copies thereof in any manner, rent, lend, lease, sublicense, resell, or otherwise make it available;
    5. decompile, reverse engineer, disassemble, or otherwise convert the Software into a human-readable form, except where expressly permitted by mandatory provisions of applicable law;
    6. take any action intended to reconstruct or reproduce the source code of the Software through reverse engineering, disassembly, decompilation, or translation;
    7. provide copies of the Software to third parties, transfer the Software to devices owned by third parties, or permit third parties to copy the Software;
    8. use a backup copy of the Software simultaneously with the primary version;
    9. use the documentation provided by the Licensor for any purpose other than supporting the use of the Software;
    10. disclose the license authorization code received from the Licensor to third parties for installation or use of the Software, except for providing access to users under the licensed order;
    11. use the Software or any part thereof for unlawful purposes;
    12. use the Software for purposes other than those for which it was designed, i.e., purposes other than managing user access within the Licensee’s enterprise;
    13. assign or transfer any rights under the license granted by the Licensor to a third party without the Licensor’s prior consent.
  4. The Licensee shall:
    1. pay all the licence fees on time,
    2. provide the Licensor or the Distributor with remote access to the Software PASK, for the purpose of error corrections,
    3. provide the Licensor or its independent auditor with all required information or materials to examine and audit the Licensee’s records and systems to ensure its compliance with these License Software Terms.
  5. After termination of the license, the Licensee shall be solely entitled to data reading and data downloading, limited to data entered during the license term, unless the licence was terminated by the Licensor in accordance with §3 let. c-d.

§2 Producer’s Liability

  1. The Licensor shall not be liable for the suitability of the Software for the Licensee’s business operations.
  2. The Licensor shall not be liable for any damage resulting from the use or inability to use the Software, unless such damage was caused intentionally.
  3. The Licensor’s liability for lost benefits or statutory liability for defects shall be excluded.
  4. If a third party submits claims against the Licensee on the grounds of infringement of industrial or intellectual property rights by the use of the Software, the Licensee shall inform the Licensor of this without delay but within 7 days, and the Licensor shall as far as possible handle the defense against these claims. Therefore, the Licensee shall provide the Licensor with any reasonable support in this context, in particular the Licensee shall provide the Licensor with all necessary information on the use of the Software PASK and all necessary documents for this. The Licensee shall therefore grant the Licensor the sole authority to make decisions about legal defense and settlement negotiations.
  5. In the case referred to above, the Licensor will, at its own discretion and at its own expense, modify the Software so that it does not infringe the rights of a third party or terminate the license with immediate effect and refund the Licensee the fee paid for the unused license period.
  6. The Licensor shall only by liable for the infringement of industrial or intellectual property rights if the Software PASK was used in accordance with the Software License Terms, user’s documentation and the order.
  7. The total liability of the Licensor to the Licensee for any damages incurred in connection with the conclusion and performance of this Software Licence Agreement is limited to f the license fees paid by the Licensee up to the date of the event giving rise to the damage. The above limitation of the Licensor’s liability does not apply to damages caused to the Licensee due to the Licensor’s willful misconduct, or in other situations provided for by mandatory provisions.

§3 Producer’s Rights

The Licensor shall be entitled to:
  1. refuse to renew the technical support for the Software in case of cessation distribution of the Software or other important reasons, including economical issues,
  2. limit the possibility of use the Software in cases justified by error elimination or by other important reasons,
  3. terminate of the license with immediate effect if the Licensee uses the Software in violation of this Agreement or the Order placed by the Purchaser, including using the Software inconsistently with its purpose, or using the Software in a way that may disrupt or impede using the Software by other users. The Licensee is not entitled to receive any fees for unused period of licence,
  4. terminate of the license with effect at the end of the calendar month if the Licensee is late in paying the undisputed license fee for at least 2 full months in the case of a monthly subscription, or by at least 30 days in other cases,
  5. verify whether the Software is used in accordance with the License Software Agreement and the order placed by the Licensee, after 7- days from a prior notice.

§4 Term of the License

  1. The License may be granted to the Licensee for a fixed term or for perpetual.
  2. In the event of a fixed-term License, the license shall automatically prolong for the same another period, without the need for any statement by either Party, unless the Licensor receives a written notice from the Licensee concerning termination of the licence. The written notice should be delivered to the Licensor not later than 7 days before the termination of the licence period.

§5 Trial License

  1. Prior to placing an order for a License, the Licensee may be granted a free trial license to test the Software.
  2. The trial license shall be granted for a period not exceeding 30 days, unless otherwise agreed by the Parties.
  3. The trial license is granted solely for testing purposes.
  4. After the termination of the trial licence, the Licensee shall delete the Software and cease to use it, unless the Licensee places the order for commercial licence before the day of termination. The Licensor shall be entitled to block the access to the Software or some of its functionalities remotely.
  5. The Licensee shall not be entitled to copy the Software during the trial license period.
  6. The Licensee shall not be responsible for technical support during the trial license period.
  7. The Licensor shall be entitled to:
    1. cancel the trial license at any time,
    2. limit the accessibility of the Software during the trial licence period.
  8. All restrictions stated in §3 sec. 1 are fully applicable to the trial licence.

§6 Confidentiality Obligation

  1. By accepting these Software License Agreement, the Licensee undertakes to keep confidential all information obtained in connection with the use of the Software, in particular technical, technological, and organizational information concerning the Software PASK a disclosure of which may cause a damage to the Licensor.
  2. The License may not delete any proprietary marks, notices (including copyright notices) and labels of the Software.

§7 Contractual Penalty

  1. In the event of a breach by the Licensee of the Software License Agreement, in particular the restrictions referred to in §1 or §5 sec. 4, or §6, the Licensee shall pay the Licensor a contractual penalty in the amount of PLN 10,000 (ten thousand Polish zlotys) for each breach.
  2. The contractual penalty should be paid within 14 days from receiving a written notice by the Licensee.
  3. If a resulting loss value exceeds the value of the restricted contractual penalty, the Licensor is entitled to pursue supplementary compensation on regular basis.

§8 Termination of the License

  1. A License concluded for a fixed term or for an indefinite period may not be terminated by the Licensee.
  2. The Licensor may terminate a license concluded for a fixed term or indefinitely in the case specified in §3 points c and d and for important reasons, with a 6-month notice period.
  3. The Licensee shall not entitled to receive any fees for unused period of licence in case of termination as pointed above.
  4. The Licensor’s liability for a licence termination shall be excluded.

§9 Final Provisions

  1. The Licensor shall be entitled to assign the copyright to the Software at any time, at its own discretion.
  2. If any provision of these license terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
  3. Any disputes arising in connection with these license terms shall be resolved by a court having jurisdiction over the Licensor’s registered office.
  4. In matters not covered by these license terms, the provisions of Polish law shall apply.


Section B: Terms of Updates and Basic Maintenance for PASK Software (Technical Support)


§ 1

  1. During the validity of the fixed-term licence, the Licensee shall be entitled without any additional charge to:
    1. Software updates in accordance with §2 below,
    2. Technical assistance, consisting of:
      • inquiries concerning the errors of the PASK Software in accordance with § 3 and 4 below,
      • receiving error corrections in accordance with § 5 below.
  2. In case of perpetual licence, the above mentioned entitlements, are valid for the first 12 months from the date of placing the order by the Licensee. After termination of that period, entitlements for updates and basic maintenance expire.
  3. For the fixed period and for the agreed remuneration on Licensee’s Price list basis, the technical support may by continued under condition, that within 30 days before the termination date, stated in sec. 2 above, the Licensee will notify to the Licensee a statement to renew the entitlements for updates and basic maintenance. The Licensee may be charged with additional fees, apart from agreed remuneration, if the above mentioned deadline is not respected by the Licensee.
  4. Except as indicated in sec. 1 and 2 above, the technical support for the PASK Software is additional paid.
  5. The services covered by these Terms of Updates and Basic Maintenance may be rendered by the Distributor.

§ 2

  1. The Software updates will be provided by Azure Container Registry.
  2. The Licensee is fully responsible for downloading the released updates.
  3. The Licensor is not obliged to provide any new PASK Software version nor to develop any functionality.
  4. The updates will include fixed errors

§ 3

  1. The Licensee is fully entitled to notify the Software errors and other Software’s inconsistencies with documentation.
  2. The Licensee should submit the error notification through a dedicated platform, provided by the Licensor from the effective date of the technical support.
  3. The error notification should include the following information:
    1. Detailed description of the error and circumstances of it’s appearance,
    2. Date and exact time of the error’s appearance,
    3. Priority of the error in accordance with classification set out in §4 below,
    4. The location (module) of the error (if possible to identify),
    5. Name, surname, and contact details of the person who had faced the error directly.
  4. The Licensor may contact the Licensee or the person set out in sec. 2 let. e above for further information or to complete a deficient error notification.

§ 4

  1. The Licensee shall classify the error in accordance with the following definitions:
  2. Critical Severity: Total system disruption (e.g., a total disruption in business-critical system operability or functionality, server crash or total system failure), critical problem that causes downtime of Software,

    Major Severity: Severe system disruption where the Software is not operating as documented but does not impact the entire system,

    Minor Severity: Trivial/Procedural issue or question, not covered by other definitions (e.g., cosmetic problems and inconveniences.

  3. The Manufacturer shall provide the Purchaser with updates and basic maintenance of the Software during the validity period of the License.

  4. Basic maintenance shall include assistance in resolving issues related to the operation of the Software, provided remotely by the Manufacturer.


§ 5

  1. The Licensee is obliged to cooperate with the Licensor or a broker and to provide them with an access to the Software, including remotely access if necessary, information, materials, hardware in order to fix the error.
  2. Reasonable efforts will be made by the Licensor to respond to all error reports and resolve them in the shortest time possible, but not later than:
  3. Severity Level Response Time Resolution Time
    Critical Severity
    Major Severity
    Minor Severity

    For purposes of the above table, the following definitions apply:

    1. Response Time - the elapsed time beginning when the Licensee submits an error notification until the Licensor first responds to the report.
    2. Resolution Time - the elapsed time beginning when the Licensee submits an error notification untill the issue is resolved.
  4. In case of a delay in fulfilment The Resolution Times that are set out in a table above for reasons attributable to the Licensor, the Licensee shall be entitled to impose a contractual penalty for each business day of delay amounting to:
    1. one tenth percent (0,1%) of the monthly fee for the technical support for error with "Critical Severity" priority;
    2. five hundredths percent (0,05%) of the monthly fee for the technical support for errors with "Major Severity" priority.
  5. The total amount of contractual penalties in aggregate shall be capped at fifty percent (50%) of the monthly fee for the technical support.
  6. The Error correction will be provided by Azure Container Registry. The Licensee is fully responsible for downloading all updates.

§6

  1. These Terms of Updates and Basic Maintanance for the PASK Software may be amended at any time by the Licensor, provided that no amendment shall materially worsen the situation of the Licensee. The current Terms for Updates and Basic Maintanance for the PASK Software may be found on www.pask.id.
  2. If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
  3. Any disputes arising in connection with these terms shall be resolved by a court having jurisdiction over the Licensor’s registered office.
  4. In matters not covered by these license terms, the provisions of Polish law shall apply.
